These Terms and Conditions (“Terms”) govern access to and use of the Zefix website and any associated digital platforms (collectively, the “Platform”), as well as all transactions for the purchase of automotive spare parts and related products (“Products”) from Zefix (“Company”, “we”, “us”, “our”).

By accessing the Platform, creating an account, or placing an order, the Customer acknowledges having read, understood, and agreed to be legally bound by these Terms. If the Customer does not agree to these Terms, the Customer must immediately discontinue use of the Platform.

These Terms constitute a binding contract between Zefix and the Customer under the laws of the Republic of Ghana.

Zefix is a company duly incorporated and operating under the laws of the Republic of Ghana, conducting business in the retail sale of automotive spare parts to consumers.

All Products offered on the Platform are supplied from locally held inventory within Ghana unless expressly stated otherwise.

These Terms are governed and interpreted in accordance with applicable Ghanaian legislation, including but not limited to:

• The Contracts Act, 1960 (Act 25)
• The Electronic Transactions Act, 2008 (Act 772)
• The Data Protection Act, 2012 (Act 843)
• Applicable consumer protection principles under Ghanaian law

In the event of inconsistency between these Terms and mandatory statutory provisions, statutory provisions shall prevail to the extent required by law.

All Product descriptions and listings displayed on the Platform constitute an invitation to treat and shall not be interpreted as a legally binding offer.

A binding contract of sale is formed only when:

1. The Customer submits an Order through the Platform; and
2. Zefix expressly confirms acceptance of that Order through electronic confirmation or dispatch notification.

Zefix reserves the right, at its sole discretion, to decline or cancel any Order prior to dispatch in circumstances including, but not limited to:

• Stock unavailability
• Manifest pricing errors
• Suspicion of fraudulent activity
• Incomplete or inconsistent vehicle information
• Regulatory or compliance concerns

Where payment has been received for a cancelled Order, Zefix shall refund the amount paid using the original payment method.

Zefix supplies automotive spare parts, which by their nature require precise technical compatibility with specific vehicles.

While Zefix endeavors to ensure that Product descriptions, images, and compatibility information are accurate and up to date, such information is provided strictly for general guidance purposes and shall not constitute a warranty of exact compatibility.

The Customer bears sole responsibility for verifying that the Product is suitable for their specific vehicle. The Customer must ensure the accuracy of all information provided, including but not limited to:

• Vehicle make
• Model
• Year of manufacture
• Engine type and displacement
• Trim level or variant
• VIN (Vehicle Identification Number), where requested

Where the Customer fails to provide complete and accurate vehicle information, Zefix shall not be liable for incompatibility or incorrect fitment.

Given the technical nature of automotive components, Zefix strongly recommends installation by a licensed and qualified automotive technician. Zefix shall not be responsible for damage resulting from improper installation or misuse.

Electrical, electronic, and sensor-based components are particularly sensitive and may not be eligible for return once installed or connected, unless defective upon delivery.

All prices are displayed in Ghanaian Cedi (GHS) and include applicable statutory taxes unless expressly indicated otherwise.

Zefix reserves the right to adjust pricing at any time prior to Order confirmation. Confirmed Orders shall not be affected by subsequent price changes.

Accepted payment methods include:

• Mobile Money (MTN, Vodafone, AirtelTigo)
• Bank transfer (where offered)
• Cash on Delivery (if applicable and available)

For Mobile Money transactions, dispatch shall occur only after confirmed receipt of funds. Zefix shall not be liable for delays or errors attributable to telecommunications providers or payment intermediaries.

The Customer warrants that they are authorized to use the selected payment method and accepts full responsibility for any unauthorized use arising from their negligence.

Delivery services are available within Ghana through appointed logistics providers.

Estimated delivery timelines are indicative only and shall not constitute a binding obligation. Delays may arise due to traffic conditions, public holidays, logistics constraints, or unforeseen events.

Risk in the Product transfers to the Customer upon physical delivery and acceptance of the goods at the delivery address provided.

The Customer is obligated to inspect the Product immediately upon receipt and to notify Zefix within twenty-four (24) hours of any visible damage or discrepancy.

Due to the nature of automotive spare parts and the risk of installation-related damage, Zefix maintains a controlled returns policy.

Returns may be approved where:

• The Product supplied does not correspond with the confirmed Order;
• The Product is demonstrably defective at the time of delivery;
• The Product was damaged in transit and reported within twenty-four (24) hours.

Returns shall not be accepted in circumstances including, but not limited to:

• Incorrect part selection by the Customer;
• Failure to provide accurate vehicle information;
• Installation, use, or alteration of the Product;
• Electrical or electronic components once connected;
• Special-order or custom-sourced Products.

Approved returns must be in unused condition, in original packaging, and accompanied by proof of purchase.

Refunds, where approved, shall be processed within seven (7) business days following inspection of the returned Product.

Where applicable, Products may be covered by manufacturer warranty. Zefix provides no additional express or implied warranties beyond those required by Ghanaian law.

To the fullest extent permitted by law, Zefix shall not be liable for:

• Indirect or consequential damages;
• Loss of income or business opportunity;
• Vehicle downtime;
• Installation or labour costs;
• Damages arising from improper installation or misuse.

In all cases, Zefix’s maximum liability shall not exceed the purchase price of the Product concerned.

The Customer agrees to indemnify and hold harmless Zefix from any claims, losses, or liabilities arising from:

• Inaccurate vehicle information provided by the Customer;
• Unauthorized resale or commercial use of Products;
• Improper installation or misuse;
• Breach of these Terms.

Personal data collected through the Platform shall be processed in accordance with the Data Protection Act, 2012 (Act 843). Data shall be used solely for order processing, delivery coordination, fraud prevention, and related operational purposes.

Zefix shall not be held liable for delay or failure to perform obligations where such delay results from events beyond reasonable control, including but not limited to natural disasters, governmental actions, supply chain disruptions, civil unrest, or telecommunications failures.

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ghana.

The parties agree to attempt amicable resolution of disputes prior to initiating legal proceedings. Failing such resolution, disputes shall be submitted to the competent courts of Ghana.

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Zefix reserves the right to amend these Terms at any time. The applicable version shall be that in force at the time the Order is placed.
